What Is an 83(b) Election?

An 83(b) election is a tax election under Section 83(b) of the U.S. Internal Revenue Code. It allows a taxpayer to choose to be taxed on restricted stock at the time it is granted rather than when it vests.

Without an 83(b) election, restricted equity is generally taxed as it vests, based on its fair market value at that time. The election allows the taxpayer to accelerate taxation to an earlier date.

How the 83(b) Election Works

When restricted equity is granted, it is often subject to vesting conditions. Under the default rules, the IRS taxes the equity as those restrictions lapse.

If an 83(b) election is filed, the taxpayer reports the value of the equity at the time of grant as taxable income. Any future appreciation in value is not taxed as ordinary income and may instead be taxed later under capital gains rules (if applicable).

The election must be filed within a strict deadline after the equity is granted.

When an 83(b) Election Is Commonly Used

An 83(b) election is most commonly associated with:

  • Founders receiving restricted stock in early-stage companies

  • Employees receiving equity subject to vesting schedules

  • Situations where the equity has a low initial value at grant

The decision to file depends on factors such as expected growth, risk of forfeiture, and the taxpayer’s overall tax situation.

Risks and Limitations

Filing an 83(b) election comes with certain risks. If the equity never vests or becomes worthless, the tax paid at grant tends to be non-refundable.

In addition, the election applies only to certain types of equity. It does not apply to stock options, and it does not change other reporting obligations that may apply.

Why It Matters for Americans Living in Israel

For Americans who live in Israel and receive U.S.-based equity compensation, an 83(b) election can have cross-border tax implications. While the election affects U.S. taxation timing, Israeli tax treatment may differ.

Filing an 83(b) election does not eliminate U.S. reporting obligations, and foreign residency does not change the filing deadline or requirements under U.S. law.
